IndexTTS2 Batch Generation GUI Tool License Agreement

By clicking to agree to the "IndexTTS2 Batch Generation GUI Tool License Agreement" ("this Agreement"), or by using any part or element of this Software, you are deemed to have confirmed and accepted the content of this Agreement, and this Agreement shall take effect immediately. If you do not agree to this Agreement, you should immediately stop using and delete the Software.

1. Definitions
1.1 This Agreement: refers to the "IndexTTS2 Batch Generation GUI Tool License Agreement", including all terms and conditions specified in this Agreement.
1.2 Developer: refers to the original developer and maintainer of this Software.
1.3 You: refers to a natural person or legal entity exercising the rights granted by this License Agreement and/or using the "Software".
1.4 Software: refers to the application named "IndexTTS2 Batch Generation GUI Tool", including source code, executable files, graphical interface, documentation, and all other components.
1.5 Derivative Works: refers to derivatives of the Software, including but not limited to: (i) modifications and adaptations of the Software; (ii) new versions created based on the Software; (iii) other works that integrate the Software or parts thereof.
1.6 Use: refers to acts of downloading, copying, installing, running, modifying, distributing, publishing, or otherwise utilizing this Software or its Derivative Works.

2. Scope of License and Rights
2.1 Subject to the terms and conditions of this Agreement, the Developer hereby grants you a worldwide, free, non-exclusive, transferable license to use. You have the right to:
    a) Use this Software for personal or commercial purposes;
    b) Copy and distribute this Software;
    c) Modify the Software and create Derivative Works;
    d) Use the Software or Derivative Works for any lawful purpose.

2.2 This Software adopts a permissive open-source license. You do not need to pay any fees for commercial use, regardless of the number of users or revenue scale of you or your affiliates.

2.3 This Agreement does not limit any rights that the Developer has in the Software, nor does it limit any rights you have in Derivative Works you create.

3. Obligations and Restrictions
3.1 Copyright Notice Retention
    a) You must retain the original copyright notice, this license agreement, and disclaimer in all copies of the Software or Derivative Works.
    b) If you modify the Software, you should clearly mark the modifications and modifier information in the modified version.

3.2 Derivative Works Requirements
    a) If you distribute Derivative Works of the Software, it is recommended (but not required) to release them under the same or compatible open-source license.
    b) If your Derivative Works introduce significant changes, you should clearly state "the modifications made to the original Software in this version are unrelated to the original Developer, and the original Developer does not endorse, warrant, or assume responsibility for these Derivative Works."

3.3 Trademarks and Naming
    a) Except for reasonably describing the source of the Software, you may not use the Developer's name, trademarks, or logos for promotion or endorsement without the Developer's express written permission.
    b) Derivative Works should use a different name to avoid confusion with the original Software.

3.4 Lawful Use
    a) The Software must not be used for purposes that violate the laws or regulatory requirements of the jurisdiction where it is used.
    b) The Software must not be used to generate illegal content, infringe on others' rights, or engage in fraudulent activities.

4. Disclaimer and Risk Agreement
4.1 This Software is provided "as is", and the Developer makes no warranties of any kind, express or implied, including but not limited to:
    a) Warranties of merchantability or fitness for a particular purpose;
    b) Warranties of non-infringement, absence of errors or defects;
    c) Warranties of continuity, accuracy, reliability, or stability;
    d) Warranties of compatibility with third-party services (such as the IndexTTS2 model).

4.2 You are solely responsible for determining the appropriateness of using this Software and assume all risks associated with using this Software.

4.3 You are solely responsible for the legality and compliance of any content generated using this Software. Any legal liability arising from the use of this Software or its output content, including infringement, illegality, breach of contract, or compensation, shall be borne solely by you, and the Developer shall not bear any joint liability.

4.4 Under no circumstances shall the Developer be liable for any direct, indirect, incidental, special, punitive, or consequential damages (including but not limited to data loss, business interruption, loss of profits, equipment damage, etc.) arising from the use or inability to use this Software, even if the Developer has been advised of the possibility of such damages.

4.5 This Software depends on third-party models (such as IndexTTS2) and libraries. These third-party components have their own respective license agreements and terms of use, which you must comply with. The Developer makes no warranties regarding the performance, availability, or compliance of third-party components.

5. Contributions and Collaboration
5.1 If you contribute code, documentation, or other content to this Software, you agree to license your contributions to the Developer and other users under the same license terms as this Agreement.

5.2 You warrant that your contributions are your original work, or that you have the right to license such contributions under the terms of this Agreement.

5.3 The Developer has the right to review, accept, modify, or reject any contributions without providing reasons.

6. Termination Provisions
6.1 If you violate any terms of this Agreement, the license granted to you under this Agreement shall automatically terminate.

6.2 Upon termination of the Agreement, you must immediately stop using the Software and delete all copies.

6.3 Termination of the Agreement does not affect the rights of third parties who have lawfully obtained copies of the Software from you.

6.4 Sections 4 (Disclaimer) and 7 (Applicable Law) of this Agreement shall remain effective after termination.

7. Applicable Law and Dispute Resolution
7.1 The interpretation, validity, and dispute resolution of this Agreement shall be governed by the laws of the People's Republic of China.

7.2 If any provision of this Agreement is held to be invalid or unenforceable, it shall not affect the validity of the remaining provisions; the invalid part shall be replaced by a valid provision that most closely approximates the original intent to the maximum extent permitted by law.

7.3 Any disputes arising from or related to this Agreement shall first be resolved through friendly negotiation between the parties; if negotiation fails, either party may file a lawsuit in a people's court with jurisdiction over the Developer's location.

8. Other Terms
8.1 This Agreement constitutes the complete agreement between you and the Developer regarding the use of this Software and supersedes any prior oral or written agreements.

8.2 The Developer reserves the right to modify this Agreement at any time. The new version of the Agreement will be published in the project repository and will take effect for new use behaviors after publication. Continued use of the Software shall be deemed acceptance of the new Agreement.

8.3 This Software is provided as a free open-source project and does not come with any technical support or maintenance guarantees. The Developer may update the Software from time to time but is not obligated to do so.
